Accelerate My Agency Official Contest Rules
ELIGIBILITY
The Accelerate My Agency Contest (the “Contest”) is open to legal residents of the fifty (50) United States and the District of Columbia who (i) function as agencies providing marketing services to clients, (ii) are not minors in their respective jurisdiction of residence, and (iii) did not purchase any equipment for purposes of entering this Contest. Shareholders, members, partners, managers, directors, officers, employees, agents, or representatives (and their immediate family members (i.e., parents, spouses, children, siblings and grandparents, and household members, whether or not related) of Sponsor, its advertising and promotional agencies, those involved in the production, development, implementation or handling of the Contest; their respective parent companies, subsidiaries, affiliates, licensees, service providers, and prize suppliers; and any other person or entity associated with conducting the Contest are not eligible.

AGREEMENT TO OFFICIAL CONTEST RULES
Participation in the Contest constitutes the entrant’s full and unconditional agreement to and acceptance of these contest rules (the “Contest Rules”) and the decisions of the Sponsor, which are final, conclusive, and binding in all matters related to this Contest. Winning a prize is contingent upon being compliant with these Contest Rules and fulfilling all other requirements set forth herein.
CONTEST PERIOD
The Contest begins on Wednesday, January 13, 2021 at 1pm ET and ends on Friday, February 4, 2021 at 11:59pm ET (the “Contest Period”). Sponsor’s computer is the official time-keeping device for the Contest.
HOW TO ENTER
Sign up on the following landing page form, available at sharpspring.com/accelerate-my-agency, or submit the form via US Mail to SharpSpring, 5001 Celebration Pointe Ave., Suite 410, Gainesville, FL 32608 Attention: Accelerate My Agency. All fields on the sign-up form must be completed, and all entry forms must be received by Sponsor during the Contest Period, to be eligible to win.
By submitting an entry, you agree that it conforms to these Contest Rules and that Sponsor, in its sole discretion, may remove your entry and disqualify you from the Contest if it believes that your entry fails to so conform.
Entrants are required to provide truthful information and Sponsor will reject and delete any entry that it discovers to be false or fraudulent. In the event of a dispute regarding the identity of the person submitting an entry, the entry will be deemed submitted by the authorized account holder of the email address associated with the social media account submitting the entry. The “authorized account holder” is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address. Each entrant may be required to show proof of being an authorized account holder. Use of multiple aliases or email addresses by the same individual to enter is prohibited. Entries made by any mass duplication, automatic, robotic, script, macro, plagiarized or programmed method, or through any promotion entry, notification, or related service are prohibited and will be disqualified. Furthermore, each entry must comply with the following restrictions:
- The entry must not contain material that violates or infringes another’s rights, including but not limited to rights of privacy, publicity, or intellectual property rights;
- The entry must not contain content created by a third party;
- The entry must not disparage Sponsor or any other person or party;
- The entry must not contain material that is inappropriate, offensive, indecent, obscene, tortious, defamatory, slanderous, or libelous;
- The entry must not contain material that promotes bigotry, racism, hatred or harm against any group or individual or promotes discrimination based on race, gender, religion, national or ethnic origin, disability, sexual orientation, or age; and
- The entry must not contain material that is unlawful, in violation of, or contrary to the laws or regulations in any state where the entry is created.
Limit one (1) entry per person for the duration of the Contest Period, regardless of method of entry. Only the first entry you submit during the Contest Period will be considered. Additional entries will not increase your chances of winning. Entries received from any person in excess of the stated limitation will be void. All entries become the property of the Sponsor and may not be acknowledged or returned.
Normal Internet access and usage charges imposed by your telecommunications provider may apply and are solely your responsibility. In addition, if you access or use the landing page form on a mobile device, message and data rates may apply and are solely your responsibility.
WINNER SELECTION
Sponsor will appoint a judging committee, with judges chosen by Sponsor in its sole discretion. Sponsor reserves the right to change the membership of the panel of judges at any time. You are not required to be present at any drawing in order to win. On or around Friday, February 5, 2021, the judging committee will select the potential winner from all eligible entries in accordance with the following judging criteria: Marketing/advertising agency or PR firm with the most compelling written reason for why we should accelerate your agency, completed with entry. Subject to the entrant’s compliance with these Contest Rules, the entrant(s) who receive the highest scores will each be deemed a potential winner. In the event of a tie, the entrant who has been in business the longest and has the largest amount of employees will be deemed the applicable potential winner amongst the tied entrants. Sponsor will not disclose and entrants shall not be entitled to receive judging scores. There will be either one (1) round in which an entry may be chosen as a potential winner or, in the event tie-breaking criteria must be considered, two (2) rounds in which an entry may be chosen as a potential winner. Each round will be increasingly difficult.
WINNER NOTIFICATION
The Sponsor will attempt to notify the potential winner(s) via social media, email, telephone, or in person on Friday, February 5, 2021 and given instructions on how to contact Sponsor to claim his or her prize, subject to fulfilling all applicable conditions set out in these Contest Rules. Each potential winner must reply to this notification within five (5) days of receipt of the notification. If the potential winner(s) does not respond within five (5) days after the date of the first attempt to contact him/her/them, the notification is returned as undeliverable, or if the potential winner does not satisfy all applicable conditions set out in these Contest Rules, then the prize will be forfeited and an alternate potential winner may be selected from all remaining eligible entries at Sponsor’s discretion.
WINNER VERIFICATION
EACH POTENTIAL WINNER IS SUBJECT TO VERIFICATION BY SPONSOR. AN ENTRANT IS NOT A WINNER OF ANY PRIZE, EVEN IF ENTRANT RECEIVES INFORMATION TO THE CONTRARY, UNLESS AND UNTIL ENTRANT’S ELIGIBILITY, AND THE POTENTIAL WINNING ENTRY, HAVE BEEN VERIFIED, ALL DOCUMENTS DESCRIBED BELOW AND REQUIRED BY SPONSOR HAVE BEEN COMPLETED, AND ENTRANT HAS BEEN NOTIFIED THAT VERIFICATION AND DOCUMENTS HAVE BEEN COMPLETED. Sponsor may send the potential winners an affidavit of eligibility, Liability and Publicity Release, and a Form W-9 for completion before a prize is awarded. A potential winner may be required to submit to a confidential background check to confirm eligibility and help ensure that the use of any such person in advertising or publicity for the Contest will not bring Sponsor into public disrepute, contempt, scandal or ridicule or reflect unfavorably on the Contest or Sponsor, as Sponsor may determine in its sole discretion. If a potential winner fails to complete and return these documents, if and to the extent required by Sponsor, within five (5) days of receiving notification, or if the potential winner is ineligible, the prize will be forfeited, and an alternate winner may be selected, at Sponsor’s sole discretion, from all eligible entries received.
PRIZES
The odds of winning are dependent on the total number of eligible entries received during the Contest Period. Major restrictions apply to the use, availability or receipt of any prize. A potential winner may be required to confirm his, her, or their eligibility and release the Released Parties from liability to receive any prize. Consultations described below may be subject to the consultant’s availability. SharpSpring accounts are subject to standard terms and conditions.

Verifiable Retail Value (“VRV”) for First place: $18,000. Verifiable Retail Value (“VRV”) for Second place: $10,000. Verifiable Retail Value (“VRV”) for Third place: $50. A total number of 3 prizes will be awarded, with a total VRV of $28,050. Winners are entitled to and will not receive the difference between the actual and approximate retail value. The specifics of the prize(s) will be solely determined by SharpSpring. No cash in lieu of any prize or prize component will be awarded, except at SharpSpring’s discretion. All prizes are non-transferable. To the fullest extent permitted by law, Sponsor reserves the right to substitute a prize, or any prize component, of equivalent or greater value. Any and all prize-related expenses, including without limitation, any and all federal, state, and or local income taxes, shall be the sole responsibility of the winner. Each winner that receives the final value of prizes awarded to such winner by the Sponsor with a total value of $600.00 or more in a single year must provide a completed Form W-9 to Sponsor and shall receive an IRS Form 1099. Delivery and use of the prize is subject to the prize winner’s completion of all documentation and conditions required by law or otherwise required by Sponsor. The Released Parties are not responsible for lost or stolen prize packs.
PUBLICITY
Entering and participating in this Contest constitutes and signifies each winner’s agreement and consent that Sponsor and its designees may use the winner’s name, city, state, likeness, photo, entry, and/or prize information in connection with the Contest for promotional, advertising, or other purposes, worldwide, in any and all media now known or hereafter devised, without limitation and without further payment, notification, permission or other consideration or compensation, except where prohibited by law.
TERMS & CONDITIONS
In the event that the operation, security, or administration of the Contest is impaired in any way for any reason including, but not limited to fraud, virus, bug, worm, unauthorized human intervention, or other technical problem; or in the event the Contest is unable to run as planned for any other reason, as determined by Sponsor in its sole discretion, the Sponsor may, in its sole discretion, either (a) suspend the Contest to address the impairment and then resume the Contest in a manner that best conforms to the spirit of these Official Contest Rules, or (b) terminate the Contest and, in the event of termination, award the prize from among the eligible, non-suspect entries received up to the time of the impairment.
The Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Contest, or to be acting in violation of these Official Contest Rules or in an unsportsmanlike or disruptive manner. Any attempt by any person to damage the website or undermine the legitimate operation of the Contest may be a violation of criminal and civil law, and, should such an attempt be made, the Sponsor reserves the right to seek damages (including attorney’s fees) and any other remedies from any such person to the fullest extent permitted by law. Failure by the Sponsor to enforce any provision of these Official Contest Rules shall not constitute a waiver of that provision.
RELEASE & LIMITATIONS OF LIABILITY
By participating in the Contest, entrants agree to release, indemnify, and hold harmless the Sponsor, its affiliated or related entities, and their respective individual trustees, officers, employees, agents, volunteers, contractors, successors and assigns, as well as any other entities associated with the Contest and each of their respective officers, directors, employees, shareholders, representatives, and agents (collectively, the “Released Parties”) from and against any claim or cause of action arising out of participation in the Contest or receipt or use of the prize (including any travel or activity related thereto) including, but not limited to: (a) any technical errors associated with the Contest, including lost, interrupted or unavailable Internet Service Provider (ISP), network, server, wireless service provider, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone, cellular tower or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties; (b) unauthorized human intervention in the Contest; (c) mechanical, network, electronic, computer, human, printing or typographical errors; (d) application downloads, (e) any other errors or problems in connection with the Contest, including, without limitation, errors that may occur in the administration of the Contest, the announcement of the winner, the cancellation or postponement of the event and/or the flyover, if applicable, the incorrect downloading of the application, the processing of entries application downloads or in any Contest-related materials; or (f) injury, death, losses or damages of any kind, to persons or property which may be caused, directly or indirectly, in whole or in part, from entrants participation in the Contest or acceptance, receipt or misuse of the prize (including any travel or activity related thereto). The Released Parties are not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Contest. The Released Parties are not responsible for lost, late, stolen, damaged, incomplete, invalid, un-intelligible, garbled, delayed, or misdirected entries, all of which are void. The entrant waives the right to claim any and all damages, including, but not limited to, punitive, consequential, direct, or indirect damages. Nothing herein shall serve as a waiver of sovereign immunity by any of the Released Parties to whom sovereign immunity may be available (under, for example, §768.28 of the Florida Statutes), nor shall anything herein be construed as consent by any of the Released Parties to be sued by any entrant or any other third party. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU ACKNOWLEDGE THAT THE RELEASED PARTIES HAVE NEITHER MADE AND HEREBY DISCLAIM ANY AND ALL WARRANTIES, EXPRESS OR IMPLIED, IN FACT OR IN LAW, RELATIVE TO ANY PRIZE, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR OTHERWISE ARISING FROM COURSE OF DEALING OR USAGE OF TRADE, EXCEPT FOR ANY WARRANTIES GIVEN PURSUANT TO THE TERMS AND CONDITIONS PROVIDED BY THE PRIZE SUPPLIER IN CONNECTION WITH THE PRIZE.
DISPUTES
Except where prohibited, each entrant agrees that any and all disputes, claims and causes of action arising out of, or connected with, the Contest or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in Florida. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Contest Rules, entrants rights and obligations, or the rights and obligations of the Sponsor in connection with the Contest, shall be governed by, and construed in accordance with the laws of the State of Florida, without giving effect to any choice of law or conflict of law rules, which would cause the application of the laws of any jurisdiction other than Florida.

Information collected from entrants is subject to the Sponsor’s Privacy Policy and applicable data privacy and protection laws. By entering the Contest, you authorize and consent to the collection, processing, disclosure, and storage of your personal data by the Sponsor for purposes of the Contest and as set forth in the Sponsor’s privacy policy.
